1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the software-as-a-service platform and related services ("Service") provided by Sojisoft Ltd ("we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Service.

2. Definitions

In these Terms, the following definitions apply:

• "Account" means the registered account you create to access and use the Service.
• "Content" means any data, text, files, information, or other materials submitted to or processed through the Service.
• "Subscription" means a paid or trial plan granting access to the Service for a defined period.

3. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service in any way that violates applicable UK or international laws or regulations.

• All activities that occur under your Account.
• Notifying us immediately at hello@sojisoft.com if you suspect any unauthorised use of your Account.

We reserve the right to suspend or terminate Accounts that violate these Terms or that we believe to be compromised.

5. Payment and Billing

Certain features of the Service require a paid Subscription. By subscribing, you agree to:

• Pay all fees associated with your chosen Subscription plan as described at the time of purchase.
• Provide accurate and up-to-date billing information.
• Authorise us to charge your payment method on a recurring basis for the Subscription period.

All fees are quoted in British Pounds Sterling (GBP) and are exclusive of VAT, which will be charged where applicable. We reserve the right to change our pricing with reasonable notice. If you cancel your Subscription, access will continue until the end of the current billing period; no refunds will be issued for unused portions unless required by law.

6. Intellectual Property

All intellectual property rights in the Service, including but not limited to software, design, text, graphics, and trade marks, are owned by or licensed to Sojisoft Ltd. Nothing in these Terms grants you any rights in the Service beyond those necessary to use it in accordance with these Terms.

You retain ownership of all Content you submit to the Service. By submitting Content, you grant us a limited, non-exclusive licence to process that Content solely to provide the Service to you.

7. Data Protection

We process personal data in accordance with applicable UK and EU data protection legislation, including the UK GDPR and the Data Protection Act 2018. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

8. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. We make no representations about the accuracy or completeness of any information provided through the Service.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sojisoft Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages – including loss of profits, data, goodwill, or business interruption – arising out of or in connection with your use of the Service.

Our total aggregate liability to you in respect of any claims arising out of or in connection with these Terms or the Service shall not exceed the total fees paid by you to us in the twelve months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Sojisoft Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your breach of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms or that continued access poses a risk to us or other users.

You may terminate your Account at any time by contacting us at hello@sojisoft.com. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall do so.

12. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or by displaying a prominent notice within the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. We encourage you to contact us in the first instance to resolve any concerns informally.

14. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be severed from the remaining Terms, which shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sojisoft Ltd in relation to your use of the Service and supersede all prior agreements, representations, and understandings.
